WELCOME TO SWISS KRONO CONNECT

You are about to enter our online platform SWISS KRONO COnnect ("COnnect"). COnnect is our online meeting and information platform which will put inspiring insights into the world of designing interior living environments at your fingertips. You will be able to meet and connect with leading experts from the fields of construction, furniture and architecture. You can also register for our extensive offering of exclusive live webinars with our experts.
We at SWISS KRONO believe in connecting with you to give you exclusive insights into our services and products by using state of the art digital technology. We will continuously enhance and update COnnect to provide you with new digital features and functionalities.
To get started, please complete your registration and create your personal user account ("Account"). To register for the COnnect service, you will be asked to read and accept these Terms of Use ("Terms").

TERMS

These terms of use ("Terms") apply to your use of our online platform SWISS KRONO COnnect including all web pages and interactive features, such as webinars, online trainings or lectures and other opportunities to participate ("Events"), and any other content located at https://www.swiss-krono.com/connect-en/. COnnect is operated and owned by SWISS KRONO AG, Willisauerstrasse 37, 6122 Menznau, Switzerland and its affiliated companies (collectively ("SWISS KRONO" or "we").

These Terms are a binding legal agreement between you and SWISS KRONO. Your access to COnnect and your use of any of the features offered on COnnect is subject to these Terms. Do not use COnnect if you do not agree with any of the terms contained herein. Certain features of COnnect may be subject to additional terms, such as the terms of use for webinars and other Events offered via COnnect, which will apply to the specific feature or functionality in addition to these Terms.

USER ACCOUNT AND CREDENTIALS

To get full access to COnnect and use its features you need to register and create your individual user account ("Account"). With your Account you can register for and participate in Events.

You may only create one Account. To create your Account, you will need to provide a current e-mail address and your first and last name and select a password. We reserve the right to reject any registration request to COnnect in our reasonable discretion and without stating any reason for such rejection.

You must protect and keep strictly confidential your login credentials, including your password. Sharing of your login credentials with third parties or otherwise allowing third parties to use COnnect in your name or using your credentials is not permitted. If you have lost your login credentials or become aware of, or suspect, any unauthorized access to or use of your Account you must immediately notify us at the contact details below. You will be fully responsible and liable for any damage or other losses resulting from a breach of your obligations under these terms, including your obligations to protect your Account against unauthorized access.

AVAILABILITY OF THE CONNECT SERVICE AND EVENTS

COnnect is provided "as is" and on an "as available" basis. SWISS KRONO will use its best efforts to provide a high level of quality of the services and products, including the Events, available through COnnect. However, SWISS KRONO makes no representation or warranty that 24 hour service or participation in any Event will be available. You agree and acknowledge that COnnect may, at times, be unavailable due to regularly scheduled maintenance, service upgrades, or other mechanical or electronic failures.

You acknowledge and agree that your registration for an Event does not establish any right to participate in a specific Event. Any invitation to or announcement of an Event on COnnect is non-binding and does not give rise to any claims to participate in such Event for you or any obligations for SWISS KRONO to perform or run such Event at all or in a specific format. SWISS KRONO reserves the right to change the content, structure or date and time of any Event. This includes the right to cancel Events, and to change the speakers.

YOUR RESPONSIBILITIES

You are responsible to ensure that all of your contributions to COnnect, including any information you provide, content and documents you post, and other interactions on the platform, such as audio, video, chat or image contributions, (collectively "Actions") comply with applicable law and the rules for the use of COnnect as set out below.

Without the explicit permission of SWISS KRONO, you may only use COnnect for private purposes and may not advertise yourself or third parties. In particular, you may not provide any chat, audio, image or video contributions with advertising content before, during and after the Events or in COnnect in general.

Consider carefully which information you disclose on COnnect and at the Events, as other users will be able to read, listen to and see your posts and contributions and as Events are recorded. In particular, do not post confidential information relating to bank accounts or phone numbers, passwords or similar, neither your own nor those of third parties.

You are not permitted to commercially use, copy, record, reproduce or otherwise use COnnect, including the Events offered via COnnect, other than through the participation option provided by SWISS KRONO in the format provided. Therefore, you are in particular not permitted to make the contents of COnnect, including the Events, accessible to any third parties.

You agree to indemnify SWISS KRONO against all claims by third parties arising from alleged or actual infringement and/or violation of third party rights by actions taken by you in connection with your use of COnnect, including your participation in any Events.

You are required to keep confidential any information made available to you during your use of COnnect which are expressly designated as confidential or which must reasonably be assumed to be confidential.

RULES FOR THE USE OF CONNECT

You may use COnnect only within the scope of the access rights granted to you and in compliance with these Terms and applicable law.

In particular, the following activities are not permitted:
    • unauthorized, illegal or fraudulent access to or use of COnnect;
    • up- or downloading, or otherwise using content in breach of SWISS KRONO's or third party intellectual property rights;
    • uploading, storing, distributing or transmitting any unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive material;
    • circumvention, disabling or otherwise compromising security features of COnnect;
    • manipulating access rights that have been assigned to you;
    • knowingly or recklessly uploading, sharing, or transmitting any data or material that contains viruses, spyware, adware, Trojan horses, worms, corrupt files, or other malicious software code designed to adversely affect the operation of COnnect or SWISS KRONO's software, hardware or networks;
    • copying, modifying, duplicating, reverse compiling or engineering, transmitting, republishing or otherwise exploiting or manipulating COnnect software or source code;
    • uploading, sending, or otherwise distributing unsolicited messages, including SMS, emails or comments;
    • attempting to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of COnnect or any content made available on COnnect in any form or media or by any means;
    • attempting to reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of COnnect;
    • accessing all or any part of COnnect in order to build a product or service which competes with COnnect;
    • licensing, selling, renting, leasing, transferring, assigning, distributing, displaying, disclosing, or otherwise commercially exploiting, or otherwise making COnnect available to any third party except to authorized Account Users;
    • attempting to obtain, or assisting third parties in obtaining, access to COnnect, other than as permitted under these Terms; or
    • insulting or harassing other individuals or otherwise violating the rights of third parties (e.g. personal rights).

Any use of COnnect in breach of these terms may immediately lead to termination or suspension of your access to COnnect. We reserve the right to delete and/or to block any content, Actions and contributions that violate against these rules. Please inform us immediately, if you notice a breach of these rules.

RIGHTS TO USE YOUR CONTENT

In connection with your use of the COnnect services and platform, including when you communicate via COnnect, post content or participate in any Event, you may upload and make available to us and other users certain information and data, including postings, links, chats and any audio or video recordings recorded in any Event ("Content"). You will be informed of any recording separately and in advance.

By posting and making available to us and other Users any Content on COnnect, you grant SWISS KRONO an irrevocable, royalty-free, non-exclusive right of use to such Content, unlimited in time and space and transferable to third parties. SWISS KRONO is entitled to use, edit and exploit such Content, including in particular the right of reproduction, the right of distribution and the right of public communication, in particular, the right of making the Content available to the public. You waive any right to be named as originator.

You warrant that you are the sole owner of all rights to the Content posted by you, or that you are otherwise authorised (e.g. by effective permission from the rights holder) to post the Content and to grant the rights of use and exploitation under the preceding section and that the Content does not infringe any third-party rights (e.g. name rights, trademark rights, copyrights and data protection law).

INTELLECTUAL PROPERTY RIGHTS

You acknowledge that SWISS KRONO is the owner of all intellectual property rights with respect to the web sites, the domains, the sub domains, text, graphics, logos, icons, images, the trademark SWISS KRONO, sound clips, video clips, data compilations, page layout, underlying code and software and other content related to COnnect, whether protected by registered intellectual property rights or not, ("Protected IP"). This does not apply to any Content uploaded and owned by you or other users of COnnect.

By using COnnect you acknowledge that such Protected IP is protected by applicable law and international intellectual property and other laws and hereby explicitly waive any rights in respect of such Protected IP. Unless SWISS KRONO has explicitly given written permission, you may not distribute, publish, reproduce, make available to the public or commercially or otherwise exploit the Protected IP. SWISS KRONO grants you a non-commercial, personal use only and non-transferable right of use to such Protected IP as necessary for your registration on COnnect and the use of COnnect in accordance with these Terms, including participation in any Event.

LIMITATION OF LIABILITY

We give no warranty and assume no liability that COnnect will be free of defects or faults. To the maximum extent permitted by the law, we provide no warranties (express or implied) of fitness for a particular purpose, accuracy of information, compatibility and satisfactory quality. SWISS KRONO shall not be responsible for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction, unauthorized access to or non-availability of COnnect resulting from external causes including, but not limited to, internet service provider equipment failure, host equipment failure, communications network failure, power failure, natural events, acts of war or legal restrictions and censorship, including any injury or damage to your computer or peripherals related to downloading any materials in from COnnect.

SWISS KRONO assumes no liability for the correctness, topicality, completeness and quality of any content provided on COnnect, including in any Events and by any speakers. SWISS KRONO shall not be liable for any damage or injury resulting from your reliance on any information or contents provided in these Events.

SWISS KRONO accepts no liability for any actions undertaken or content (such as posts, chat content, comments, links or other information) provided by users and other third parties on COnnect. In particular, we do not warrant that any such content is complete, accurate, lawful, up-to-date or suitable for achieving the purpose intended.

COnnect may contain links to or enable you to access the content of other web sites including social networks or other services offered by third parties or otherwise correspond with third parties. You do so solely at your own risk and SWISS KRONO does make no representation or commitment and accepts no responsibility for any such third-party websites, or any transactions completed or contracts entered into by you with any such third party or any security threats they may cause to your system. Your use of such third party sites is subject to the terms of use and privacy policy of the respective third party website or other service.

TERMINATION / SUSPENSION

SWISS KRONO may, in its sole discretion, without notice or liability, for any reason, including if technical problems, irregularities or misuse occurs or if third parties engaged in the operation of COnnect terminate or suspend any of their services, to SWISS KRONO, and at any time, discontinue COnnect or any parts thereof or limit or terminate an Account or temporarily suspend or permanently cancel your Account and rights to access or use COnnect. This also applies to participation in any Events, in particular where we have reason to believe that you are violating or have violated these Terms or if we have another justified interest in blocking or excluding you. Should SWISS KRONO suffer any damage as a result of your breach of the Terms, you shall be liable to SWISS KRONO to the extent permitted by the applicable law. SWISS KRONO reserves the right to take further legal action in the event of violations of the Terms.

PRIVACY

SWISS KRONO will store and process any personal data uploaded or otherwise disclosed by you in connection with your access to and use of COnnect in compliance with applicable data protection laws and as required for the operation of COnnect in accordance with these Terms.

ENTIRE AGREEMENT AND APPLICABLE LAW

If any of these Terms of Use are held to be invalid, unenforceable or illegal for any reason, the remaining Terms of Use shall nevertheless continue in full force. The Terms of Use shall be governed by the laws of the Federal Republic of Germany.
